Item 8.01.

Other Events.

On August 27, 2021, Ermenegildo Zegna Holditalia S.p.A., a joint stock company incorporated under Italian law (“Zegna”) filed with the Securities and Exchange Commission (“SEC”) a registration statement on Form F-4 that includes a proxy statement/prospectus relating to the proposed business combination (the “Business Combination”) between Investindustrial Acquisition Corp. (“IIAC”) and Zegna.

Additional Information

In connection with the Business Combination, Zegna has filed a registration statement on Form F-4 (File No. 333-259139) with the SEC that includes a prospectus with respect to Zegna’s securities to be issued in connection with the transactions contemplated by that certain Business Combination Agreement dated as of July 18, 2021, by and among IIAC, Zegna, and EZ Cayman, a Cayman Islands exempted company (as it may be amended, supplemented or otherwise modified from time to time, the “Business Combination Agreement”) and a proxy statement with respect to the shareholder meeting of IIAC to vote on the Business Combination. Shareholders of IIAC and other interested persons are urged to read the preliminary proxy statement/prospectus as well as other documents to be filed with the SEC because these documents contain important information about IIAC, Zegna and the Business Combination.
